Can a tenant sell the commercial lease?

Tenants cannot exactly sell their commercial lease, however, an unexpected event can sometime require businesses to leave their current residences or workspaces. In this case the original tenants can transfer all of their rights and responsibilities under the lease agreement by completing an Assignment of Lease.

Consequently, they are freeing themselves from any further obligations while still ensuring that someone else takes up residence in the property. Thanks to this process, individuals with a sudden need for relocation do not have to worry about having signed long-term leases.

However, keep in mind that your landlord has a wide range of discretion when assessing any proposed transfers.

In addition, original tenants have the potential to generate income without having to move out. If the lease agreement does not restrict it, they can consider subleasing their commercial space. If you decide to sublease, the responsibility of payment would nevertheless still lie within you- so make sure that any new tenant agrees to all terms set by your landlord!

Do I have to pay stamp duty on a commercial lease?

Commercial leases do carry a hidden tax cost: Stamp Duty Land Tax (SDLT).

Paying SDLT within a period of thirty days after the commencement of your lease is essential to avoid any interest or additional charges. Moreover, if you plan on changing your agreement in any way, such as renewing it, further SDLT payment may be required.

As the responsibility for this tax lies solely within you (landlords have no duty in this area), when it comes to minimizing SDLT payments, having an experienced barrister on your side can save
